iPulse Terms of Service

Intelligent Pulse Technology Co., Ltd. (“iPulse,” “Company,” “we,” “us,” or “our”) provides the iPulse website, mobile applications including iPulse Me, wearable-device integrations, cloud services, health-management services, and related services (collectively, the “Services”).

 

1. Acceptance of Terms

By registering for, accessing, or using the Services, you acknowledge that you have read, understood, and agreed to these Terms of Service and the applicable policies referenced herein.

If you do not agree to these Terms, you must not access or use the Services.

If you use the Services on behalf of an organization, you represent that you are duly authorized to accept these Terms on its behalf.

 

2. Description of Services

The Services may include:

1. The iPulse website and mobile applications;

2. Health, fitness, and physiological data recording and analysis;

3. Connectivity with wearable devices;

4. Cloud storage and data synchronization;

5. Personalized information, notifications, and recommendations; and

6. Other features provided by iPulse.

iPulse may modify, suspend, or discontinue all or part of the Services for technical, operational, security, legal, or other legitimate reasons.

Where a material change significantly affects users’ rights, iPulse will provide reasonable notice where required by law.

 

3. Account Registration and Use

You must provide accurate, complete, and current information during registration and keep such information updated.

You are responsible for safeguarding your account credentials and for activities conducted through your account.

You must promptly notify iPulse of any unauthorized access or suspected security incident.

iPulse may restrict, suspend, or terminate an account where permitted by law if the information provided is false, misleading, materially incomplete, or where these Terms have been violated.

 

4. Inactive Accounts and Data Retention

If an account has had no login or other meaningful activity for two consecutive years, iPulse may, after providing reasonable notice where practicable, restrict or terminate the account.

Following termination, data will be handled in accordance with the Privacy Policy and applicable law.

Where retention is no longer legally required and the original purpose no longer applies, iPulse may delete, anonymize, or cease using the relevant data within a reasonable period.

 

5. Minors

Where required by applicable law, minors must obtain the consent of a parent or legal guardian before using the Services.

iPulse may restrict certain functions or require additional authorization procedures as required by law.

 

6. Privacy and Personal Data

iPulse processes personal data in accordance with its Privacy Policy and applicable data-protection laws.

The Services may process health, fitness, physiological, and wearable-device data. Information requiring specific consent or another lawful basis will be processed in accordance with applicable law.

Third-party services integrated with or linked through the Services are governed by their own privacy policies and terms.

 

7. Health and Medical Disclaimer

Health, fitness, physiological data, analysis, scores, alerts, and recommendations provided through the Services are intended primarily for health-management, fitness-management, and informational purposes.

Unless expressly stated otherwise and provided by appropriately qualified professionals, the Services do not constitute medical diagnosis, treatment, prescription, or other medical services.

Results may be affected by sensors, wearable devices, environmental conditions, network connectivity, data quality, algorithms, and other technical factors and therefore are not guaranteed to be completely accurate, complete, or real-time.

You should consult a qualified healthcare professional if you have a medical condition, acute symptoms, health concerns, or questions regarding exercise safety.

 

8. Exercise Safety

You are responsible for reasonably assessing your physical condition before participating in exercise activities.

You should use appropriate clothing and equipment and ensure that your exercise environment is reasonably safe.

If you experience chest pain, difficulty breathing, dizziness, loss of consciousness, abnormal vision, seizures, or other concerning symptoms, stop exercising immediately and seek appropriate medical assistance.

 

9. User Content

You remain responsible for content that you upload, store, transmit, publish, or share through the Services (“User Content”).

You represent that you have all necessary rights to such content and that its use does not infringe the intellectual-property, privacy, personality, or other rights of any third party.

To the extent reasonably necessary to provide and operate the Services, you grant iPulse a non-exclusive, worldwide, royalty-free license to store, reproduce, transmit, process, and display User Content.

This license is limited to providing, maintaining, improving, and operating the Services and does not transfer ownership of User Content to iPulse.

 

10. Prohibited Conduct

You may not:

1. Violate applicable laws or regulations;

2. Infringe copyrights, trademarks, patents, privacy rights, personal-data rights, or other rights;

3. Upload or transmit malware or harmful code;

4. Attempt unauthorized access, probing, scanning, or attacks against the Services;

5. Circumvent or disable security or technical-protection measures;

6. Impersonate another person or provide materially false information;

7. Collect, store, or use another person’s personal data without authorization;

8. Distribute spam or unauthorized marketing communications;

9. Use automated means to systematically scrape or reproduce Services content;

10. Engage in harassment, threats, fraud, or unlawful activity; or

11. Otherwise materially interfere with the Services or harm iPulse, users, or third parties.

 

11. Content Management

To maintain service quality, security, and legal compliance, iPulse may remove, restrict, or disable access to content that is unlawful, infringing, or in violation of these Terms where reasonably necessary.

Except where required by law, iPulse does not undertake a general obligation to proactively monitor all User Content.

 

12. Information and Recommendations

The Services may provide general health, fitness, lifestyle, and other informational content.

iPulse will use reasonable efforts to maintain the accuracy of such information but does not guarantee that all content will be completely accurate, complete, current, or suitable for a particular user.

You should not rely solely on the Services when making significant medical or health-related decisions.

 

13. User Feedback

You may provide suggestions, comments, ideas, or other general feedback regarding the Services (“Feedback”).

iPulse may use such Feedback for reasonable product and service improvement purposes without compensation, subject to applicable law.

Confidential information and personal data will continue to be handled in accordance with applicable law and the Privacy Policy.

 

14. Intellectual Property

The software, source and object code, interfaces, designs, databases, text, graphics, audiovisual materials, trademarks, logos, and other materials forming part of the Services are owned by iPulse or their respective rights holders.

Except as expressly permitted by law or authorized by the rights holder, you may not:

1. Copy, modify, or create derivative works;

2. Rent, sell, transfer, distribute, or sublicense;

3. Reverse engineer, decompile, or attempt to obtain source code; or

4. Publicly transmit, display, or otherwise improperly exploit such materials.

iPulse grants you a limited, personal, non-exclusive, non-transferable, and revocable right to use the Services solely for their intended purposes.

 

15. Third-Party Services and External Links

The Services may contain or integrate with third-party websites, applications, payment services, cloud services, wearable devices, or other platforms.

Third-party services are governed by their own terms and privacy policies.

Except as required by law, iPulse is not responsible for the independent services, content, products, or information provided by third parties.

 

16. Service Interruptions and Maintenance

iPulse will use reasonable efforts to maintain the availability of the Services.

The Services may be interrupted or suspended due to maintenance, upgrades, network failures, third-party service failures, cybersecurity incidents, force majeure, or other circumstances beyond iPulse’s reasonable control.

iPulse will take reasonable steps to restore affected Services.

 

17. Changes to the Services

iPulse may modify or adjust the Services for technical, operational, security, commercial, or legal reasons.

Where required by law, material changes affecting users’ rights will be communicated in advance through reasonable means.

If you do not agree to a material change, you may discontinue use of the affected Services and, where applicable, terminate your account.

 

18. Suspension and Termination

iPulse may warn, restrict, suspend, or terminate an account where permitted by law if you:

1. Materially breach these Terms;

2. Engage in unlawful or fraudulent conduct;

3. Infringe third-party rights;

4. Pose a material security risk;

5. Provide materially false information; or

6. Otherwise fall within circumstances permitting suspension or termination.

Except in emergencies or where otherwise required by law, iPulse will provide reasonable notice or an opportunity to remedy the violation where practicable.

Following termination, information will be retained, deleted, or anonymized in accordance with the Privacy Policy and applicable law.

 

19. Paid Services and Subscriptions

If the Services include paid features, memberships, or subscriptions, the applicable pricing, billing, subscription period, renewal, cancellation, and refund terms will be disclosed with the relevant service.

Where consumer-protection laws apply, iPulse will comply with those mandatory requirements.

 

20. Disclaimer

iPulse will provide the Services using reasonable technical and organizational measures.

To the extent permitted by applicable law, iPulse shall not be liable for losses caused by:

1. The user’s own device or network;

2. Interruption or failure of third-party services;

3. Force majeure or circumstances beyond iPulse’s reasonable control; or

4. The user’s breach of these Terms or failure to maintain reasonable security.

Nothing in these Terms excludes or limits any liability that cannot lawfully be excluded or limited.

 

21. Liability and Damages

To the extent permitted by law, a user who intentionally or negligently breaches these Terms, unlawfully uses the Services, or infringes third-party rights shall be responsible for direct and reasonable losses, claims, or expenses incurred by iPulse as a result.

Mandatory provisions of applicable law shall prevail.

 

22. Notices

iPulse may provide notices by email, in-app notifications, SMS, website announcements, or other reasonable means.

Material amendments to these Terms will be communicated through appropriate means where required by applicable law.

 

23. Trademarks

iPulse, the iPulse logo, company name, product names, and related marks are trademarks or other protected rights of iPulse or their respective rights holders unless otherwise stated.

You may not use, reproduce, register, or otherwise exploit such marks without prior written authorization.

 

24. Intellectual-Property Infringement Notices

If you believe that material provided through the Services infringes your copyright or other intellectual-property rights, please provide:

* Your identity and contact information;

* Identification of the relevant work or right;

* The location and description of the allegedly infringing material;

* Reasonable evidence supporting your rights; and

* Any other information reasonably necessary to process the notice.

iPulse will process such notices in accordance with applicable law and reasonable procedures.

 

25. Governing Law and Jurisdiction

These Terms are governed by the laws of the Republic of China (Taiwan), subject to any mandatory provisions of applicable law.

The parties shall first attempt to resolve disputes through good-faith discussion.

If a dispute cannot be resolved, it shall be submitted to a competent court in Taiwan, unless mandatory law provides otherwise.

 

## 26. Entire Agreement and Miscellaneous

These Terms and the policies expressly incorporated herein constitute the entire agreement between you and iPulse concerning the Services.

Where a particular Service has additional terms, those specific terms will prevail to the extent of any inconsistency.

If any provision is held invalid or unenforceable, the remaining provisions shall remain effective.

Failure by iPulse to immediately exercise any right under these Terms shall not constitute a waiver of that right.

Headings are provided for convenience only and do not affect interpretation.
